SEBI Portfolio Managers Regulations 2026: What Changes for You

Ckredence Wealth |November 5, 2026

The SEBI (Portfolio Managers) Regulations, 2026 replace the 2020 rules from 1 April 2027. For most investors, the ₹50 lakh minimum stays and a new ₹25 lakh mutual-fund-only route called PRIM arrives. Managers may also hold a wider range of investments, within limits SEBI will set.

Until April 2027, nothing changes for an existing account. A Surat diamond-trade family with a discretionary PMS keeps the same agreement, fee and reporting until the new rules apply. The changes that matter come from what managers will be allowed to buy and how they must disclose it.

This guide sets out what changes, what does not, and what to check before April 2027.

TL; DR

  1. The new regulations were notified in October 2026 and take effect on 1 April 2027, repealing the 2020 rules.

  2. The ₹50 lakh minimum for PMS stays; accredited investors remain exempt.

  3. A new PRIM route lets portfolio managers run mutual-fund-only portfolios from ₹25 lakh.

  4. Managers may invest in IPOs and primary debt, and in foreign and unlisted securities within limits SEBI will specify.

  5. Upfront fees and promised returns stay banned, and distributor commission must appear in client reports.

  6. The Before and After April 2027 table below summarises every change an investor will notice.

What Changes for PMS Investors Under the SEBI Portfolio Managers Regulations 2026?

Four things change for investors. Managers gain new investment options, a ₹25 lakh PRIM route opens, client reporting must show distributor commission, and grievance and disclosure timelines move to calendar days.

According to Corporate Law Updates, the regulations were notified on 7 October 2026 and published in Gazette Extraordinary No. 604 on 8 October 2026. The 2020 regulations are repealed from 1 April 2027. Our guide to a SEBI registered PMS covers the rules that apply until then.

The industry these rules govern is large. According to Business Today, PMS AUM stood at about ₹43.3 lakh crore across roughly 2.2 lakh client accounts (as of 30 June 2026).

Is the ₹50 Lakh PMS Minimum Changing Under the 2026 Regulations?

No. The ₹50 lakh minimum per client stays under regulation 16(3) of the new rules. Accredited investors remain exempt from it, subject to disclosures, under regulation 16(4).

The assumption is that SEBI has cut the PMS minimum to ₹25 lakh. The reality is that ₹25 lakh applies only to PRIM, a separate route limited to mutual funds. A Vadodara manufacturer with ₹30 lakh still cannot open a discretionary equity PMS.

⚠️ Risk to understand

Some portfolios opened before the 2020 rules still sit below ₹50 lakh. The new regulations give them 12 months from April 2027 to meet the minimum, so check your account value if it predates 2020.

What Is the PRIM Route in the 2026 PMS Regulations?

PRIM is a portfolio management route for investing in mutual fund units. It starts at ₹25 lakh and may hold only direct mutual fund plans, index funds, ETFs and specialised investment funds.

  1. Who runs it: a SEBI-registered portfolio manager, or an entity registered only for PRIM with ₹2 crore net worth.

  2. What it holds: direct plans of Indian mutual funds, index funds, ETFs and SIFs. No individual shares.

  3. Minimum: ₹25 lakh per client.

  4. Who it suits: an investor who wants a manager to run a mutual fund portfolio, rather than advice they act on themselves.

A Navsari doctor with ₹35 lakh in a dozen regular-plan funds is the investor PRIM targets. Our RIA vs PMS guide compares PRIM with a fee-only adviser at the same level.

The biggest practical change is what your manager may buy, not what you pay. Read your next Disclosure Document closely, because new asset classes must be described there before they are used. Our guide on how to read a PMS Disclosure Document shows where.

Can PMS Invest in Foreign Stocks, IPOs or Unlisted Debt From 2027?

Yes, with conditions. IPOs and primary debt issues become permitted investments for portfolio managers. Foreign securities, unlisted securities and exchange-traded derivatives are allowed only within limits SEBI will specify separately.

So the headline permission is not yet a working rule for foreign or unlisted holdings. Until SEBI issues those limits, no manager can say how much of a portfolio may go abroad or into unlisted debt.

A Bharuch chemicals exporter interested in global exposure should ask for the manager's plan in writing once limits are published. Our asset allocation guide covers global exposure more broadly.

The manager pool is growing at the same time. According to APMI data reported by Cyril Amarchand Mangaldas (as of 31 May 2026), 515 portfolio managers are registered, up from 226 in 2020.

More managers will be competing on the new asset classes, so expect product launches. Judge each one on its Disclosure Document, not its brochure.

What Do the 2026 Regulations Change on Fees and Distributors?

Less than headlines suggest. Fees may still be fixed, return-based or a mix, and upfront fees remain prohibited. Managers may not promise returns or charge distribution fees on mutual fund investments.

The visible change is reporting. Client reports, due at least every quarter, must show distributor commission. Distribution itself is now large: Cafemutual counted 23,387 PMS distributors (30 July 2026).

SEBI also notified a Common Advertisement Code on 10 October 2026, setting uniform rules on performance claims from April 2027. Our PMS fee structure guide explains how fixed and performance fees work today.

Who Does Not Need to Act on the New PMS Regulations Yet?

Most existing investors. If your account is above ₹50 lakh and you are happy with your mandate, nothing is required now.

You may want to act if your portfolio predates 2020 and sits below ₹50 lakh, or if you are weighing a move between products. If your manager changes ownership, the PMS exit process gives you a free exit window. In that case, our comparison of smallcase, PMS and RIA shows the routes side by side. Investors waiting for foreign exposure through PMS should wait for SEBI's limits before deciding anything.

No. The ₹50 lakh minimum per client continues for portfolio management services. The ₹25 lakh minimum applies only to PRIM, a separate route that invests in mutual funds alone.

What is PRIM in PMS?

Can PMS invest in IPOs?

From 1 April 2027, IPOs and primary debt issues are permitted investments for portfolio managers. Each manager must describe its use of them in the Disclosure Document.

What Should Existing PMS Investors Do Before April 2027?

Check three things. Does your account meet ₹50 lakh, what will your manager do with the new asset classes, and how will distributor commission appear in your reports? Everything else can wait for SEBI's detailed limits.
